Terms of Service.

These Terms of Service (the “Terms”) are a binding agreement between you and 305 SPORTS ENTERPRISES, INC. (“305 Sports,” “we,” “us,” or “our”). They govern your use of 305sports.com, our newsletter, and the content and events we publish under the 305 Sports name (together, the “Services”).

By using the Services you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

Anyone may read the site. To subscribe to the newsletter, use the contact form, or otherwise submit information to us, you must be at least 13 years old. If you are between 13 and 18, you may do so only with the involvement of a parent or legal guardian.

If you use the Services on behalf of a company, school, team, or brand, you represent that you have authority to bind that organization to these Terms.

305 Sports is a media brand covering Miami sports. We publish original articles and video, aggregate headlines from third-party news sources, surface our own social posts, and organize events including 305Games.

The Services are provided free of charge and for informational and entertainment purposes. We may change, suspend, or discontinue any part of them at any time without notice.

Merchandise

Our shop is not yet open, and these Terms do not cover the sale of goods. When merchandise becomes available, purchases will be governed by separate terms of sale presented at checkout, covering orders, pricing, payment, shipping, and returns.

The Services and their contents — articles, video, photography, graphics, data compilations, layout, and code — are owned by 305 Sports or our licensors and are protected by copyright, trademark, and other laws.

We grant you a limited, personal, non-exclusive, non-transferable, revocable license to view and share our content for your own non-commercial use. That license includes normal social sharing: linking to our pages, quoting a short excerpt with attribution, and using the native share and embed tools the platforms provide.

You may not

• Republish, syndicate, or redistribute our articles or videos in substantial part without our written permission.
• Re-upload our video to another account, or strip our watermarks, credits, or branding.
• Use our content to train machine learning or generative AI models without our written permission.
• Scrape, crawl, or harvest the Services by automated means beyond what our robots.txt permits, or use our content in a competing product.
• Use the 305 Sports name, logo, or marks in a way that suggests sponsorship, endorsement, or partnership that does not exist.

Headlines, excerpts, and thumbnails from third-party news publishers shown on the Services remain the property of those publishers and link back to the original source.

If you send us a tip, story, photo, footage, athlete information, event detail, or any other material (“Submissions”), you keep ownership of it. You grant 305 Sports a worldwide, non-exclusive, royalty-free, sublicensable, perpetual license to use, reproduce, edit, adapt, publish, distribute, and display the Submission across the Services and our social channels, with attribution where practical.

You represent that

• You own the Submission or have the rights necessary to grant this license.
• The Submission does not infringe anyone else’s copyright, trademark, privacy, or publicity rights.
• If the Submission features a minor, you are that minor’s parent or guardian, or you have their permission.
• The Submission is not unlawful, defamatory, or deliberately false.

We are not obligated to publish or keep any Submission, and we treat Submissions as non-confidential. Do not send us anything you need kept secret.

You agree not to:

• Break the law or violate anyone’s rights while using the Services.
• Interfere with or disrupt the Services, including probing, overloading, or attempting to gain unauthorized access to any system or account.
• Introduce malware, or use the Services to send spam or unsolicited commercial messages.
• Harass, threaten, defame, or impersonate anyone, including athletes, coaches, our staff, or other members of our audience.
• Misrepresent your identity or affiliation, including submitting false athlete or recruiting information.
• Remove or obscure any copyright, trademark, or other notice.

When you subscribe, you consent to receive email from 305 Sports covering our stories, videos, events, and occasional partner or sponsored content, which we identify as such. Every email includes an unsubscribe link, and you can also unsubscribe by emailing info@305sports.com. We may still send you replies to inquiries you initiate.

The Services display content from and link to third parties, including Instagram, TikTok, YouTube, X, and news publishers. We do not control, endorse, or take responsibility for that content, and your use of those services is governed by their terms. Aggregated headlines are presented for discovery and link to the original publisher.

We respect copyright and respond to valid notices under the Digital Millennium Copyright Act. If you believe material on the Services infringes your copyright, send a written notice to our designated agent at info@305sports.com including:

• Your physical or electronic signature.
• Identification of the copyrighted work you claim was infringed.
• The URL or a description sufficient to let us locate the material you want removed.
• Your name, address, telephone number, and email address.
• A statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law.
• A statement, under penalty of perjury, that the information in your notice is accurate and that you are the owner or authorized to act on the owner’s behalf.

We remove infringing material and terminate repeat infringers where appropriate. If your material was removed and you believe that was a mistake, you may send a counter-notice to the same address.

Our coverage of high school and amateur sports includes minors. An athlete who has reached the age of majority, or a parent, legal guardian, coach, or school official acting for a minor athlete, may ask us to review, correct, or remove specific content. The process, our response times, and the grounds on which we act are set out in the Minors and athletes section of our Privacy Policy.

Registration for 305Games and our other events may be subject to additional rules, waivers, and eligibility requirements provided at registration. Where those conflict with these Terms, the event-specific terms control for that event.

Our events are filmed and photographed. By attending, you consent to being recorded and to 305 Sports using that footage and photography in our coverage, promotion, and archives without compensation. Athletic activity carries risk of injury, and participants assume that risk to the extent permitted by law.

The Services are provided as is and as available, without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free.

Statistics, rankings, recruiting information, schedules, roster details, and audience figures are provided for informational purposes and may be incomplete, out of date, or inaccurate. Nothing on the Services is professional, legal, financial, medical, or recruiting advice, and no coverage or ranking is a guarantee of any athletic or recruiting outcome.

To the fullest extent permitted by law, 305 Sports and its officers, directors, employees, and contributors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunity, arising out of or relating to your use of the Services, whether based in contract, tort, or any other theory, even if we have been advised of the possibility.

Our total liability for all claims relating to the Services will not exceed one hundred US dollars ($100). Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

You agree to indemnify and hold harmless 305 Sports and its officers, directors, employees, and contributors from any claims, damages, losses, liabilities, and expenses, including reasonable attorney fees, arising out of your use of the Services, your Submissions, or your breach of these Terms or of any law or third-party right.

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. You and 305 Sports agree that any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and you consent to the personal jurisdiction of those courts.

We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms or if we discontinue the Services. Sections that by their nature should survive termination — including intellectual property, your Submissions, disclaimers, limitation of liability, indemnification, and governing law — survive.

We may update these Terms from time to time. When we do, we will revise the “Last updated” date at the top, and for material changes we will provide additional notice on the site. Your continued use of the Services after a change takes effect means you accept the revised Terms.

• Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and 305 Sports regarding the Services.
• Severability. If any provision is held unenforceable, the rest remains in effect and the unenforceable provision is limited to the minimum extent necessary.
• No waiver. Our failure to enforce a provision is not a waiver of our right to enforce it later.
• Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
• No agency. These Terms do not create a partnership, joint venture, employment, or agency relationship between you and 305 Sports.
